1. Welcome to Cherizh

Welcome, and thank you for choosing Cherizh. These Terms of Service ("Terms") govern your use of the Cherizh application and website (collectively, the "Service"). By creating an account or using Cherizh, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. What Cherizh Is (and What It Is Not)

3. Eligibility

• You must be at least 18 years old to use Cherizh
• By creating an account, you represent and warrant that you are at least 18 years of age
• We may request age verification at any time and reserve the right to terminate accounts that we reasonably believe belong to users under 18
• If we discover that a user under 18 has created an account, we will immediately terminate the account and delete all associated data
• You must provide accurate information when creating your account
• You may not create accounts for other people without their consent
• Account creation is limited to prevent abuse — device-level limits (5 accounts per device, permanent) and network-level limits (5 accounts per IP address, permanent) are enforced

4. Your Account

• You are responsible for maintaining the security of your account
• You are responsible for all activity under your account
• You must notify us immediately if you believe your account has been compromised
• We reserve the right to suspend or terminate accounts that violate these Terms
• You may delete your account at any time — see our Privacy Policy for data deletion details

5. Subscriptions and Payments

• Cherizh offers free and paid subscription tiers (Free, Starter, Pro)
• Paid subscriptions are billed through Apple App Store or Google Play Store
• Subscription terms (pricing, billing cycle, features) are displayed in the app before purchase
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• You can manage or cancel your subscription through your Apple or Google account settings
• Refunds are handled by Apple or Google according to their respective refund policies
• We reserve the right to change subscription pricing with reasonable advance notice
• If you cancel a paid subscription, you retain access to paid features until the end of your current billing period, then revert to the free tier

6. Acceptable Use

You agree NOT to:

• Use Cherizh to harm, threaten, or harass others
• Share content that is illegal, abusive, or violates the rights of others
• Attempt to extract, reverse-engineer, or replicate the AI models or proprietary systems used by Cherizh
• Use automated tools, bots, or scripts to create accounts or interact with the Service
• Attempt to bypass rate limits, security measures, or access restrictions
• Impersonate another person or entity
• Use Cherizh for any commercial purpose without written permission
• Share your account credentials with others
• Deliberately attempt to manipulate or "jailbreak" the AI companions
• Use Cherizh to generate content that promotes violence, self-harm, or illegal activity

7. Your Content

• You retain ownership of all content you create in Cherizh (journal entries, chat messages, mood data)
• By using Cherizh, you grant us a limited license to process, store, and analyze your content solely for the purpose of providing and improving the Cherizh service
• We do NOT claim ownership of your content
• We do NOT use your content to train AI models
• We do NOT share your content with other users
• You can export or delete your content at any time

8. AI-Generated Content

• Responses from Cherizh's AI companions are generated by artificial intelligence
• AI responses may occasionally be inaccurate, incomplete, or inappropriate despite our extensive safety measures
• AI responses should not be treated as professional advice (medical, legal, financial, or otherwise)
• Cherizh implements crisis detection, content filtering, and safety guardrails to minimize harmful outputs, but no system is perfect
• You should exercise your own judgment when acting on any AI-generated content
• We continuously improve our AI safety systems based on emerging best practices

9. Your Responsibilities When Using AI Companions

While we work hard to make Cherizh's AI companions safe and helpful:

• You are responsible for evaluating whether AI-generated advice or perspectives are appropriate for your situation
• You should not rely solely on AI companions for decisions about your health, safety, relationships, or other important life matters
• If an AI companion says something that feels wrong, harmful, or inappropriate, please flag it using the in-app feedback feature so we can improve
• You should maintain relationships with real people — AI companions are designed to supplement human connection, not replace it
• If you notice yourself becoming emotionally dependent on an AI companion to the exclusion of human relationships, we encourage you to speak with a mental health professional

10. Crisis Detection and Safety

• Cherizh includes automated crisis detection that identifies messages potentially indicating self-harm, suicidal ideation, or severe distress
• When crisis indicators are detected, Cherizh will provide mental health resources and emergency contact information alongside the companion response
• This system is designed as an additional safety layer, NOT as a clinical screening or diagnostic tool
• Crisis detection may produce false positives (flagging messages that are not actually crisis-related) or false negatives (missing messages that are crisis-related). It should not be relied upon as a sole safety measure.
• If you or someone you know is in immediate danger, always contact emergency services directly

11. Intellectual Property

• Cherizh, including its design, code, AI systems, persona frameworks, and branding, is the intellectual property of Cherizh
• The Cherizh name, logo, and companion persona names (Eden, Frank, Gene, Heather, Ting, Justin, Lee) are trademarks of Cherizh
• You may not copy, modify, distribute, or create derivative works based on Cherizh without written permission

12. Availability and Modifications

• We strive to keep Cherizh available at all times but cannot guarantee uninterrupted service
• We may perform maintenance, updates, or modifications that temporarily affect availability
• We reserve the right to modify, update, or discontinue features with reasonable notice
• We will make reasonable efforts to notify you of significant changes that affect your use of the Service

13. Limitation of Liability

• Cherizh is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that Cherizh will meet your specific requirements, be uninterrupted, secure, or error-free
• TO THE MAXIMUM EXTENT PERMITTED BY LAW, Cherizh and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service
• Our total liability for any claims arising from the Service shall not exceed the amount you paid for Cherizh in the 12 months preceding the claim
• Specifically: We are not liable for any actions you take or decisions you make based on AI companion responses. The AI companions are not professional advisors and their output should not be treated as such.

14. Indemnification

You agree to indemnify and hold harmless Cherizh, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your violation of these Terms or your misuse of the Service.

15. Dispute Resolution

• Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association
• Arbitration will take place in the state of Texas
• You waive the right to participate in class action lawsuits
• Small claims court actions are exempt from arbitration
• Either party may seek injunctive relief in court for intellectual property violations

16. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Changes to These Terms

• We may update these Terms with reasonable advance notice
• Material changes will be communicated via email or in-app notification
• Continued use after changes take effect constitutes acceptance
• If you disagree with changes, you may delete your account
